ALTER8IGHT TERMS OF SERVICE & CLIENT AGREEMENT

Effective Date: March 2026 (Updated)

Alter8ight (“we”, “us”, “our”) operates a Digital Commerce Hub — a multi-sector platform providing expert in-house services and access to a vetted freelancer network for digital solutions, including website development, app development, software solutions, graphics design, and global trade logistics.

By engaging our services, making any payment, or accessing our platform, you (“Client”) agree to the terms outlined below.

1. Acceptance of Agreement

By working with Alter8ight in any capacity, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, you must not proceed with our services.

2. How Alter8ight Operates

Alter8ight functions as a structured hybrid system:

  • In-House Team: Core experts delivering direct services
  • The Hub Network: Verified external professionals supporting project execution

All projects remain under Alter8ight supervision, management, and quality control regardless of who executes them.

3. Payment Structure & Production Policy

Alter8ight operates a strict value-for-value system.

Creative Services (Design, Branding, Media, etc.)

Full (100%) payment is required before work begins.

Development Services (Web, App, Software)

  • 70% upfront deposit to commence
  • 30% balance required before final completion

The 70/30 Rule (Binding Condition)

Project execution is directly tied to payment progress.
Once 70% of the project scope is completed, all work will pause until the remaining 30% balance is paid.

Alter8ight will not proceed, revise, or extend any project beyond this point without full payment.

4. Sample Approval, Revisions & Refund Policy

Approval of Direction

Clients are provided with samples, concepts, wireframes, or prototypes for selection and approval.

Once a direction is approved and delivery aligns with that approval, the obligation is considered fulfilled.

Change of Direction

Any request for a new concept, redesign, or alternative direction after approval will be treated as a new project and billed separately.

No Refund Policy

All payments are strictly non-refundable once work has commenced and follows the approved direction.

Scope Based on Payment

All deliverables are limited to the agreed scope and service tier.
Additional features or enhancements outside the agreed scope require additional payment.

5. Ownership & Delivery

All project materials, including but not limited to source files, code, designs, and access credentials, remain the property of Alter8ight until full payment is received.

Ownership transfers to the Client only after the final 30% balance has been fully paid.

6. Priority & Express Services

Clients requesting urgent or accelerated delivery may be subject to a Priority Surcharge.

This may include:

  • Faster turnaround time
  • Dedicated production allocation
  • Immediate deployment of additional resources

7. Accounts & Professional Conduct

Clients must provide accurate information and maintain professional communication.

Alter8ight reserves the right to suspend or terminate services in cases of:

  • Misuse of services
  • False or misleading information
  • Unprofessional or abusive conduct

8. Non-Circumvention Policy

Clients and freelancers introduced through Alter8ight agree not to bypass the platform to conduct private transactions that avoid service fees.

Violation of this policy may result in termination of services and potential legal action.

9. Payment & Transaction Terms

All payments must be made through Alter8ight-approved channels.

Alter8ight is not responsible for any transactions conducted outside its official payment systems.

10. Limitations & Acceptable Use

Alter8ight reserves the right to refuse, remove, or terminate services involving content that is:

  • Illegal
  • Defamatory
  • Infringing on intellectual property rights

11. Indemnity

The Client agrees to indemnify and hold harmless Alter8ight, its management, team members, and affiliates from any claims, damages, or disputes arising from:

  • Use of services
  • Violation of these Terms
  • Third-party engagements

12. Service Disclaimer

Alter8ight guarantees professional service delivery but does not guarantee:

  • Business success
  • Financial outcomes
  • Market performance

Results depend on external factors beyond our control.

13. Regional Compliance

Nigeria

Clients retain rights in accordance with applicable Nigerian consumer protection laws.

International Clients

Where applicable, regional data protection and consumer regulations (including GDPR) are respected.

14. Dispute Resolution & Governing Law

All disputes that cannot be resolved internally shall be settled through binding arbitration in:

Yenagoa, Bayelsa State, Nigeria

This agreement shall be governed and interpreted in accordance with Nigerian law.

15. Updates to This Agreement

Alter8ight reserves the right to update or modify these Terms at any time.

Continued use of our services after updates constitutes full acceptance of the revised Terms.

16. Final Understanding

Alter8ight operates on three core principles:
Clear Agreement. Structured Payment. Controlled Delivery.

When these are respected, projects move efficiently and successfully.
